Power App Service & Improvement Agreement


This Power App Service & Improvement Agreement ("Agreement") outlines the terms and conditions between Texas Technician ("Service Provider") and any subscribing client ("Client"). By engaging Texas Technician's services, the Client agrees to the following terms and conditions governing service and support for Microsoft 365, Power Platform, and any additional products or services listed in the Client's quote. This Agreement provides the framework for maintaining and supporting products as specified in the Client’s quote for optimal performance, security, and reliability throughout the term of service.

1. Agreement Scope

This Agreement applies to the products and services listed on the Client's quote. Texas Technician will provide maintenance, support, and any additional specified services for these products to ensure uninterrupted access and reliable functionality. The Agreement covers only those products listed in the Client's quote. Any products or services requested outside of the listed quote will require a separate agreement or be subject to standard rates.

2. Services Provided

2.1 Power Admin Account

The Power Admin Account acts as a dedicated "service account" for the administration of Microsoft 365 and Power Platform tools. This account may consist of one or multiple licenses based on the Client’s requirements and may include Microsoft 365, Power Apps, or both. Features of the Power Admin Account may include:

  • Microsoft 365 Office Applications – Access to essential productivity tools such as Word, Excel, PowerPoint, and Outlook, available for both online and offline use.
  • Email and Calendar Management – Business-class email with a 50 GB mailbox per user and integrated calendaring for easy scheduling and coordination.
  • Microsoft Teams Collaboration – A centralized hub for team communication, supporting chat, video conferencing, and real-time collaboration on documents.
  • OneDrive and SharePoint Storage – 1 TB of secure storage per user with SharePoint Online capabilities for file sharing and teamwork.
  • Power Apps and Power Automate – Low-code/no-code tools for building custom applications and automating workflows to streamline processes.
  • Security and Compliance – Advanced security features, including multi-factor authentication, threat analytics, and data loss prevention.

This structure supports a flexible and powerful suite of tools, promoting productivity and efficiency within the Client’s organization.

2.2 Power App Service Agreement (Annual)

The Power App Service Agreement is an optional but recommended add-on designed to keep the Client's Microsoft Power App running smoothly. This annual agreement covers:

  • Bug Fixes – Resolution of technical issues classified as software bugs.
  • Updates and Compatibility Adjustments – Ensuring compatibility with Microsoft’s ongoing infrastructure updates and modifications.
  • Troubleshooting – Diagnostic services to correct issues affecting app functionality.

Note: This Agreement applies only to application errors not caused by user modifications. Issues resulting from unauthorized or unintended changes by the user, such as edits to the app or database, may incur additional charges at the standard hourly rate.

2.3 Prepaid App Improvement Hours

For customization or additional enhancements, Prepaid App Improvement Hours are available for purchase in discounted blocks of five hours. These hours may be used for:

  • Feature Enhancements and Functional Improvements – Tailoring the application to better suit evolving needs.
  • Scheduled or On-Demand Adjustments – Flexible use of hours, allowing Clients to adapt their Power Apps over time as needed.

Prepaid App Improvement Hours provide a flexible way for Clients to customize their application without impacting the core maintenance plan.

3. Optional Services

Depending on the Client's requirements, this Agreement may extend to optional services and third-party application support as detailed in the Client's quote. These optional services may include:

  • Linux Server Support – Server maintenance and troubleshooting for any Linux-based systems used in conjunction with Microsoft 365 or Power Platform.
  • Third-Party Application Integration – Support for compatible third-party tools listed in the Client’s quote.

Each of these optional services will only be included if specified in the Client’s quote and will be governed by the terms of this Agreement for the stated term.

4. Business Hours and Emergency Support

Support under this Agreement is available Monday through Friday, 8:00 AM to 5:00 PM, excluding holidays. Any services or support requests outside of these hours may incur additional charges based on the Service Provider’s after-hours rate. Emergency support is available outside of standard business hours but is billed at a higher rate as specified in the quote.

5. Billing and Payment

Payment terms for all services, including optional services and prepaid hours, are as specified in the Client’s quote. Prepaid App Improvement Hours and any additional out-of-scope services will be billed separately as incurred. Failure to pay for services within the agreed time-frame may result in a suspension of support and service until payment is received.

6. Term and Renewal

This Agreement is valid for one year from the Effective Date and is eligible for renewal at the end of each term. Renewal terms and any updates to service offerings or rates will be provided in advance. Texas Technician reserves the right to adjust the Agreement scope or terms at renewal, subject to Client approval.

7. Termination

Either party may terminate this Agreement with [Notice Period] days’ notice. Upon termination, Texas Technician will invoice the Client for any outstanding charges related to prepaid hours or optional services.

Acceptance of Terms

By engaging Texas Technician's services, the Client acknowledges and agrees to the terms of this Agreement as set forth on this page. This Agreement, together with any accompanying quote, constitutes the entire agreement between the Service Provider and the Client regarding the products and services covered.
