Prepaid Managed IT Services Agreement


This Managed IT Services Prepaid Agreement ("Agreement") is made between Texas Technician ("Service Provider") and any subscribing client ("Client"). By purchasing prepaid service blocks from Texas Technician, the Client agrees to the terms outlined here for the provision of information technology maintenance and support services. This Agreement defines the prepaid services provided, including maintenance and support of networking, computer repair, software troubleshooting, and other IT-related needs.

1. Agreement Scope

This Agreement applies to prepaid service blocks purchased by the Client, which cover IT maintenance and support, including all products and services listed in the Client’s quote. Each prepaid block provides a set number of hours for use on a wide range of IT services, including but not limited to:

  • Networking – Configuration, troubleshooting, and maintenance of network devices.
  • Computer Repair – Diagnosis and repair of hardware and software issues on computers.
  • Software Repair – Troubleshooting, updates, and optimization of software applications.
  • General IT Support – Assistance with technology integration, setup, and general troubleshooting.

Additional services or products requested outside of these prepaid blocks are subject to standard rates or require a separate agreement.

2. Service Level and Use of Hours

The hours purchased in prepaid blocks are flexible, allowing the Client to use them for any covered IT service as needed. Services are provided on a first-come, first-served basis, and Texas Technician commits to reasonable response times, aiming to acknowledge all service requests within two hours during standard business hours.

2.1 Standard Business Hours

Texas Technician's standard business hours are Monday through Friday, 8:00 AM to 5:00 PM (Central Standard Time), excluding holidays. Requests for service outside these hours may incur an additional after-hours fee.

3. Confidentiality and Security

Texas Technician may access confidential information belonging to the Client during the provision of services. The Provider agrees to:

  • Maintain confidentiality of all client information.
  • Use client data solely for service purposes.
  • Implement security measures to prevent unauthorized access or disclosure of client data.

Upon termination of this Agreement, the Provider will return or securely dispose of any confidential information in its possession, unless retention is required by law.

4. Liability and Indemnification

The Provider agrees to exercise reasonable care in service provision. However, the Provider will not be liable for indirect, incidental, or consequential damages arising from services provided under this Agreement. The Client agrees to indemnify and hold harmless Texas Technician from claims or damages arising from the Client's use of services or breaches of this Agreement.

5. Governing Law and Dispute Resolution

In the event of a dispute, both parties agree to pursue resolution through mediation before taking further legal action. Mediation shall occur in Lipscomb County, Texas. This Agreement is governed by Texas law, with venue in Lipscomb County.

6. Force Majeure

The Provider will not be held liable for delays or failures to provide services due to events beyond its control, such as natural disasters, strikes, or technical failures.

7. Disclaimer of Warranties

The Provider offers no warranty of uninterrupted or error-free service operation. Services are provided "as-is," and the Provider disclaims all other warranties, express or implied, including those of merchantability or fitness for a particular purpose.

8. Limitation of Liability

The Provider’s total liability is limited to the amount paid by the Client in the six months preceding any claim. This limitation is integral to the Agreement and was agreed upon by both parties prior to acceptance of the quote.

9. Payment and Expiration of Prepaid Hours

All payments are due upon purchasing the prepaid block. Prepaid hours are valid for one year from the purchase date, after which unused hours will expire. If additional hours are required, the Client may purchase more blocks as needed.

Acceptance of Terms

By accepting the quote for prepaid service hours, the Client acknowledges and agrees to these terms. This Agreement, along with any accompanying quote, constitutes the entire agreement between the Client and Texas Technician concerning IT services and prepaid hours.
